Platform Terms of Use

1. Who we are

These Terms of Use govern the use of the Xodus Habitat platform (the “Platform”), operated by Xodus Habitat, a division of Valeir Holdings SARL, a company registered in Cameroon (RCCM CM-DLA-02-2025-B13-00148), registered office B.P. 12949, Douala, Cameroon. By creating an account or using the Platform you accept these Terms. If you do not agree, do not use the Platform.

2. What the Platform does

• Property rentals, sales and purchases: listings submitted by landlords, verified before publication.
• Escrow and payment facilitation for rentals and purchases (mobile money via CinetPay once activated; card payments via Stripe).
• Guest houses, a goods marketplace, and independent service providers.
• Verified Scouts who submit and verify listings, and remote property management for diaspora owners.

Xodus Habitat is an intermediary. Rental agreements, sales and service contracts are concluded between users (landlord and tenant, seller and buyer, provider and client). We are not the landlord, seller or service provider.

3. Accounts and roles

• You must be at least 18 years old and legally able to enter into contracts to create an account.
• You must provide truthful, accurate information and keep your contact details up to date.
• Accounts may combine roles (tenant, landlord, diaspora owner, seller, service provider, scout). Additional staff roles are granted only by the Platform.
• Sellers, service providers and landlords must complete identity verification before publishing. Verification is reviewed by our team; an approved check is required before listings go live.
• You are responsible for activity under your account. Do not share your password. Business names used for personal accounts may be asked to open a seller profile.

4. Listings and content

• Listings must be accurate, lawful, and describe property, goods or services you are entitled to offer.
• Every listing is reviewed before publication. We may refuse, suspend or remove any listing that is inaccurate, misleading, fraudulent, unsafe or unlawful, and suspend the associated account.
• You retain ownership of your photos and descriptions, and grant Valeir Holdings SARL a non-exclusive licence to display and promote them on the Platform.
• “Verified” badges reflect checks completed by our team at a point in time. They are not a guarantee; always inspect a property or item and keep records of your dealings.

5. Payments and escrow

• Rental payments (first month, deposit and any advance rent under the model chosen by the landlord) and supported purchases are paid through the Platform's payment partners and held in escrow until the agreed confirmation step (for example, confirmed move-in or delivery). Funds are then released to the landlord or seller.
• Payment partners. Payments are processed through our payment partners: CinetPay, MTN Mobile Money and Orange Money (mobile money, once activated) and Stripe (cards). Card payments made from outside Cameroon may be collected through Stripe by Kaelmark LLC (New Jersey, USA), an affiliated company acting as payment collection agent on behalf of Valeir Holdings SARL. Escrowed funds are released only according to the confirmation steps in these Terms.
• Cash arrangements. In-person cash payment is allowed only for marketplace goods and services (meet-up or cash on delivery) and is at the parties' own risk. Rentals and sales of property introduced through the Platform must be paid through Platform payment; cash or other off-platform payment of such a transaction is a breach of these Terms and of the Landlord Listing Agreement.
• Platform fees are those published at xodushabitat.com/fees and are shown before you pay. Listing on the marketplace is currently free; any future fees will be announced in advance.
• Scout commissions are paid by the Platform according to the published Scout fee schedule, on confirmed results only.

6. Marketplace and service providers

• Sellers and service providers are independent businesses, responsible for their goods, services, prices, taxes and customer relations.
• Descriptions, photos and prices are provided by the seller or provider. Complaints about a product or service should first be addressed to them through the Platform's messaging.
• Cash-on-delivery and meet-up arrangements are made directly between buyer and seller at their own risk.

7. Prohibited use

• No fake or duplicate listings, fraud, impersonation, or scams of any kind.
• No illegal, stolen, counterfeit or dangerous goods; no unlawful services.
• No attempts to move Platform users to off-platform payment to avoid agreed fees, where fees apply.
• No scraping, automated abuse, or interference with the Platform's operation.

Breaches may lead to listing removal, account suspension or closure, and where appropriate referral to the authorities.

8. Liability

The Platform is provided “as is”. To the fullest extent permitted by law, Valeir Holdings SARL is not liable for: the accuracy of user listings; the conduct of users; goods or services supplied by independent sellers and providers; losses arising from cash deals arranged outside Platform payment; or indirect or consequential losses. Nothing in these Terms excludes liability that cannot be excluded under Cameroonian law.

9. Suspension and termination

You may close your account at any time. We may suspend or close accounts that breach these Terms, fail verification, or create risk for other users. Accounts holding funds in an active escrow or transaction cannot be closed until the transaction is resolved.

10. Disputes between users

Raise any dispute first with the other party through Platform messaging, then with the Platform administrator within 14 days of the event. Escrowed funds under dispute stay held until the dispute is resolved by agreement, by the administrator, or by a competent court.

11. Governing law

These Terms are governed by the laws of the Republic of Cameroon and applicable OHADA law. Disputes are subject to the competent courts of Douala, Cameroon, unless mandatory law provides otherwise.

12. Fees, privacy, changes and language

Fees are those published at xodushabitat.com/fees, which form part of these Terms. Personal data is handled under our Privacy Policy at xodushabitat.com/privacy. We may update these Terms; material changes are announced on the Platform at least 14 days before they take effect, and continued use after that date means acceptance. The English and French versions are equally authentic. Ticking the acceptance box on the Platform, after being able to read these Terms, has the same effect as a handwritten signature; the Platform records the date, time and version accepted.
